Designation Deputy Company Secretary Date of vacancy Immediate Department Group Legal & Compliance Geographic Area Woodmead Job Grade DU Purpose of the job The Deputy Company Secretary is responsible for supporting and assisting the Company Secretary in meeting the statutory responsibilities of the function and for the full management of the Group Secretariat. Required outputs: Functional Assist in drafting the various reports as part of the Groups Integrated Report Plays a key role in the preparation of Board and Committee Documents Provide assistance to the Group Compliance Officer in ensuring compliance with Group Secretariat related legislation and regulations Draft internal governance policies, procedures and internal controls in the management of the Group Secretariat function and ensure adherence thereto Ensure compliance with JSE listing rules, including the drafting of market announcements; regulations; company law and corporate governance guidelines Provide detailed project management of Executive, Board and Committee meetings Attendance and involvement at board meetings Prepare agendas and papers for Board and Committee meetings Provide expert assistance to the Group Investor Relations Office Ensure properly convened shareholders meetings Ensure meetings are professionally minuted and documented Provide leadership to the Group Secretariat Team Build a strong and cohesive team by recruiting top talent and creating an inclusive, high-performing and healthy team culture Provide technical direction and guidance to the Group Secretariat team through expert advice, performance management and employee engagement Organogram Qualifications and expertise required (Must) Recognised legal degree (B Com Law/BA Law/LLB) Postgraduate degree Admitted Attorney Minimum 10 years assistant company secretarial experience Minimum of 8 years JSE listed company secretarial experience (including minute taking) Minimum 5 years experience with the JSELR, Companies Act and commercial practice Minimum 5 years experience in managing a secretariat department Minimum 10 years experience in advising boards and committees on governance and compliance matters In-depth knowledge of establishing Group Secretariat policies and procedures Demonstrated knowledge of drafting board and committee documents Competencies (skills, knowledge and characteristics) Applicable Ethical conduct Ability to keep strictest of confidentiality Ability to work under pressure and extended working hours Display high levels of integrity Places a high premium on adhering to principles and values Must be a team player Professionalism Deadline driven Following instructions and procedures X X X X X X X X X
